FEXD Driver Terms of Use

These Driver Terms of Use ("Agreement") govern the relationship between Finlandia Express Delivery ("FEXD," "we," "our," or "us") and the registered delivery driver ("Driver," "you," "your") who uses the FEXD platform to perform delivery services. By registering and using the Driver App, you agree to comply with the terms outlined below.

1. Definitions

1.1 FEXD: Finlandia Express Delivery, a company registered in Finland under business ID 3260739-2.

1.2 Driver: An individual approved by FEXD to deliver products using the FEXD platform.

1.3 User: A customer who places an order through the FEXD platform.

1.4 Seller: A business or individual offering products for sale on the FEXD platform.

1.5 Platform: The FEXD website, mobile applications, and services used to connect Drivers, Sellers, and Users.

1.6 Delivery: The act of transporting goods from a Seller or pickup location to a User’s provided destination.

2. Driver Requirements and Eligibility

2.1 Legal Requirements: Drivers must be at least 18 years old and legally eligible to work in Finland. Non-citizens must have a valid residence and work permit.

2.2 Documentation: You must provide valid identification (e.g., passport or ID card), proof of residence permit (if applicable), and a current address.

2.3 Conduct: You agree to act professionally, respectfully, and safely while using the FEXD platform.

3. Use of the Platform

3.1 Access: You may use the Driver App only while your account is active and approved by FEXD.

3.2 Location Sharing: While you are marked as "Online," your location may be used to assign deliveries and for route tracking. During certain deliveries (e.g., from sellers), your location and phone number may be visible to Users. In parcel-only deliveries (no seller involved), your contact details and location are not shared with Users.

3.3 Account Security: You are responsible for maintaining the security of your login credentials and activity under your account.

4. Delivery Responsibilities

4.1 Timely Pickup and Drop-Off: You must pick up and deliver orders within the timeframes specified in the Driver App.

4.2 Communication: In case of delivery issues, you must attempt to contact the User. If unreachable after 5 minutes:

Food orders should be left at the door.
For other items, contact FEXD or the Seller for further instructions.

4.3 Item Handling: You must treat all items with care. You are not responsible for unopened parcels but must refuse suspicious or clearly damaged items.

4.4 Safety Compliance: You must comply with traffic laws, safety regulations, and wear protective gear where appropriate.

5. Payments and Fees

5.1 Compensation: Drivers are paid based on completed deliveries. Specific rates and bonuses may vary depending on time, distance, and demand.

5.2 Payment Cycle: Payouts are processed every two weeks. To receive payouts, you must have an active account with UKKO.fi, which will be used for handling payments and invoicing.

5.3 Deductions: Any penalties, fines, or platform fees may be deducted from your payouts in accordance with FEXD’s driver compensation policy.

6. Suspension and Termination

6.1 By Driver: You may deactivate your account at any time by requesting deactivation through the Driver App or by contacting support.

6.2 By FEXD: FEXD reserves the right to suspend or terminate your account due to:

Repeated delivery complaints
Violation of these Terms or applicable laws
Fraudulent behavior or safety violations

6.3 After Termination: Your access to the platform ends. Any pending payouts will be processed according to FEXD’s settlement policy.

7. Liability and Indemnity

7.1 Platform Disclaimer: FEXD provides the platform as a facilitator. We are not liable for accidents, delays, or loss of earnings.

7.2 Driver Responsibility: You assume all risks associated with your delivery activity, including traffic safety and package handling.

7.3 Indemnification: You agree to indemnify and hold FEXD harmless against any claims, damages, or legal actions arising from your actions or omissions while using the platform.

8. Modifications to This Agreement

FEXD may update these terms at any time. You will be notified in-app or via email at least 14 days before any significant changes take effect. Continued use of the Driver App after changes implies acceptance.

9. Governing Law and Disputes

This Agreement is governed by Finnish law. Disputes shall be resolved first through FEXD support (info@fexd.fi). If unresolved, the dispute will be handled by the Helsinki District Court.

10. Legal Relationship

The Driver acknowledges and agrees that they operate as an independent contractor and not as an employee of FEXD. Nothing in this Agreement shall be interpreted as creating an employment relationship, partnership, joint venture, or agency between FEXD and the Driver. The Driver is free to decide when and how to provide delivery services and may engage in other work outside of the FEXD platform.

11. Data Handling and Sharing

By registering as a Driver, you give FEXD permission to share your personal data, including but not limited to your name, email, work-related information, and compensation details, with our third-party service providers, UKKO.fi for the purpose of:

Handling payments and invoicing
Ensuring compliance with legal, tax, and accounting obligations
Supporting internal analytics and performance monitoring

FEXD processes your personal data in accordance with GDPR and will never share your information beyond what is necessary for operational and legal purposes.
