SELLER AGREEMENT
Effective Date: 01.03.2025

This Seller Agreement ("Agreement") is entered into between Fexd (Finlandia Express Delivery) ("Fexd," "we," "our," "us") and the registered Seller ("Seller," "you," "your") who wishes to list and sell products on the Fexd platform ("Platform"). By registering as a Seller and using the Platform, you agree to be bound by the terms and conditions outlined in this Agreement.

1. Definitions

1.1 "Fexd" refers to Finlandia Express Delivery, a company registered in Finland under business ID 3260739-2.

1.2 "Seller" refers to businesses or individuals offering products for sale through the Platform.

1.3 "User" refers to any individual or entity purchasing products from the Seller via the Platform.

1.4 "Commission" refers to the percentage of the total product price retained by Fexd as a service fee.

1.5 "Platform" refers to the Fexd website, mobile applications, and related services.

1.6 "Order" refers to a purchase request placed by a User via the Platform.

2. Registration and Compliance

2.1 Eligibility: To become a Seller, you must provide accurate business details, including company name, registration number (if applicable), VAT details, and contact information.

2.2 Compliance with Laws: The Seller must comply with all applicable Finnish laws, including VAT (Value-Added Tax) regulations, product safety standards, and consumer protection laws.

2.3 Account Security: Sellers are responsible for maintaining the confidentiality of their login credentials and ensuring that only authorized individuals access the account.

3. Commission and Payment Terms

3.1 Commission Rate: Fexd retains 20% of the total product price per order as a commission fee for providing the Platform and related services.

3.2 Payouts: After deducting the commission, Fexd will transfer the remaining balance to the Seller’s registered bank account. Payouts occur every two weeks.

4. Seller Responsibilities

4.1 Product Listings:

  • Sellers must provide accurate descriptions, prices, and tax rates for their products.

  • Images and descriptions must be truthful and not misleading.

4.2 Order Fulfillment:

  • Orders must be prepared and made available for pickup within the agreed timeframe.

  • The Seller is responsible for ensuring product quality and adherence to food safety standards.

4.3 Restricted Products: Sellers are prohibited from listing the following items on the Platform:

  • Alcohol and tobacco products

  • Counterfeit or illegal items

  • Hazardous materials or items restricted under Finnish law

4.4 Returns and Refunds:

  • Food Orders: Food items cannot be returned once purchased.

  • Non-Food Items: The User may return items within 14 days at their own expense.

  • Refunds: If an order or item is returned, the refund will be processed via Stripe to the original payment method. Refunds may take several business days to reflect in the User’s account.

  • Seller Mistakes: If an item is missing or incorrect, the Seller must either:

    • Issue a refund for the missing item.

    • Arrange delivery of the missing item (via their own means or by placing a parcel delivery request through Fexd).

4.5 Failed Deliveries:

  • If the User is not at the address during delivery, the Driver will attempt to call the User.

  • If the User is unreachable for five minutes, the following applies:

    • Food Orders: The order will be left at the door.

    • Non-Food Orders: The Driver will contact the Seller for further instructions. The Seller may request the item be returned or delivered at another time.

5. Liability and Indemnification

5.1 Platform Disclaimer:

  • Fexd acts as a facilitator between Users, Sellers, and Drivers. We are not responsible for product quality, safety, or compliance with laws.

  • The Seller assumes full responsibility for product-related claims, including quality complaints or legal violations.

5.2 Indemnification:

  • The Seller agrees to indemnify and hold Fexd harmless against any claims, damages, or legal actions resulting from:

    • Product defects, health risks, or misleading descriptions.

    • Violations of Finnish laws or third-party rights.

6. Termination and Account Suspension

6.1 Termination by Seller: Sellers may deactivate their accounts by sending a request for deactivation to Fexd.

6.2 Termination by Fexd: Fexd reserves the right to suspend or terminate a Seller’s account in cases of:

  • Repeated customer complaints or negative feedback

  • Non-compliance with Finnish regulations

  • Fraudulent activities or misuse of the Platform

6.3 Effect of Termination: Upon termination, the Seller will no longer be able to list products on the Platform, and pending payouts will be processed according to our final settlement policy.

7. Amendments to This Agreement

7.1 Changes to Terms: Fexd reserves the right to modify this Agreement. Sellers will be notified by email of significant changes 30 days in advance before they take effect.

7.2 Continued Use: Continued use of the Platform after updates constitutes acceptance of the new terms.

8. Governing Law and Dispute Resolution

8.1 Governing Law: This Agreement is governed by Finnish law.

8.2 Dispute Resolution:

  • Sellers must attempt to resolve disputes with Fexd via customer support (info@fexd.fi) before taking legal action.

  • If unresolved, disputes will be handled under the jurisdiction of the Helsinki District Court.
